1. Acceptance of Terms

By accessing and using ChauFlow ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

ChauFlow provides financial management and accounting tools specifically designed for rideshare drivers, chauffeurs, and delivery drivers. Our services include:

• Transaction tracking and categorization
• Bank account integration via Plaid
• AI-powered financial insights and chat assistance
• Tax deduction tracking for IRS compliance
• Financial reporting and analytics

3. User Account

3.1 Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.3 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use this Service. By using ChauFlow, you represent and warrant that you meet these requirements.

4. Subscription and Payment

4.1 Free Plan and Trial

ChauFlow offers a Free plan with manual transaction tracking at no cost, forever. New users also receive a 14-day free trial of Pro features (AI chat, bank sync, and weekly insights). After the trial period, users may subscribe to continue using Pro features or remain on the Free plan at no charge.

4.2 Subscription Plans

After the trial period, you will be charged according to your selected subscription plan (monthly or annual). Subscription fees are non-refundable except as required by law.

4.3 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you represent that you are authorized to use the payment method provided.

4.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

4.5 Refund Policy

Due to the nature of our digital service, we do not offer refunds for unused portions of subscription periods. If you cancel, your subscription will remain active until the end of your current billing period.

5. Data and Privacy

5.1 Financial Data

ChauFlow integrates with your bank accounts via Plaid to retrieve transaction data. We do not store your bank login credentials. All financial data is encrypted and stored securely in compliance with industry standards.

5.2 AI Processing

Our AI features use OpenAI's technology to categorize transactions and provide financial insights. Transaction data may be processed by OpenAI's systems in accordance with their privacy policies.

5.3 Data Retention

We retain your data for as long as your account is active. Upon account deletion, we will delete or anonymize your personal data within 30 days, except as required by law or for legitimate business purposes.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Upload or transmit viruses, malware, or other malicious code
• Use the Service to harass, abuse, or harm others
• Scrape, copy, or reproduce the Service without permission
• Resell or redistribute the Service without authorization

7. Intellectual Property

The Service and its original content, features, and functionality are owned by ChauFlow and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the financial data you input into the Service. By using the Service, you grant ChauFlow a limited license to use your data solely for the purpose of providing the Service to you.

8. Tax and Accounting Disclaimer

IMPORTANT: ChauFlow is a financial tracking tool, not a substitute for professional tax or accounting advice.

While ChauFlow helps you track expenses and identify potential tax deductions based on IRS guidelines and NYC TLC regulations, we are not tax professionals, accountants, or financial advisors.

You should always consult with a qualified tax professional or accountant for:

• Tax filing and preparation
• Verification of deduction eligibility
• Compliance with IRS regulations
• NYC TLC-specific tax requirements
• Financial planning and advice

ChauFlow does not guarantee the accuracy of tax deduction categorizations or the results of using our Service. You are solely responsible for the accuracy of your tax filings.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAUFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO CHAUFLOW IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless ChauFlow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
